These Terms & Conditions (the “Terms”) govern your access to and use of the websites, landing pages, forms, downloads, and communications operated by Neuromotion Systems Pvt. Ltd. (“NMSPL”, “we”, “us”, or “our”), including nmspl.co (the “Site”).

Client project work is governed separately by the statement of work, master services agreement, non-disclosure agreement, or other written contract we sign with you. If those documents conflict with these Terms, the signed contract prevails for that work.

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

1. Eligibility

You must be legally able to enter into a binding agreement to use the Site, which generally means being at least 18 years old, or using it under the supervision of a parent or guardian where the law permits. You agree that the information you give us is accurate and that your use of the Site complies with applicable law.

2. Acceptable use

You agree not to:

  • use the Site for any unlawful, fraudulent, or harmful purpose;
  • introduce malware, or interfere with or disrupt the Site, its servers, or its networks;
  • attempt to gain unauthorised access to the Site, other accounts, or connected systems;
  • scrape, crawl, or harvest content or data by automated means, except for ordinary search-engine indexing permitted by our robots.txt;

We may suspend or block access to the Site if we reasonably suspect a violation of these Terms.

3. Forms, enquiries, and communications

Information you submit through forms, email, WhatsApp, or booking tools may be used to respond to your enquiry and to send you business communications, as described in our Privacy Policy.

  • Please do not send confidential, regulated, or export-controlled information through general forms. If your project needs it, ask us for a mutual NDA first.
  • Submitting a form or contacting us does not create a client, partnership, agency, or employment relationship.

4. Proposals and commitments

Estimates, timelines, capability descriptions, and recommendations on the Site or given in early conversations are preliminary and non-binding. Prices, scope, and delivery commitments exist only in a written proposal or contract signed by both parties.

5. Intellectual property

The Site and its content, including text, graphics, logos, diagrams, software, and downloads, are owned by or licensed to Neuromotion Systems Pvt. Ltd. and protected by intellectual property laws. You may view the Site and download limited materials for your personal or internal, non-commercial use, provided you keep all copyright and proprietary notices intact and do not modify, republish, sell, or create derivative works from them.

Intellectual property in work we deliver to clients is governed by the applicable contract. See IP Protection for how we handle ownership and confidentiality.

6. Materials you submit

You confirm that you have the right to submit any materials you send us. You grant us a non-exclusive, royalty-free licence to use them to respond to your enquiry, evaluate a potential engagement, provide services, and improve our offerings. We will not publish your materials or identify you as a client without your permission.

7. Third-party content and links

The Site may link to or embed third-party websites, tools, and services (for example scheduling, analytics, or social platforms). We do not control them and are not responsible for their content, availability, or practices. Your use of them is at your own risk and subject to their terms.

8. Examples and testimonials

Examples, benchmarks, and testimonials describe particular projects and conditions. Past results are illustrative and do not guarantee similar outcomes for your project.

9. Informational purposes only

Content on the Site is general information about our services and technology. It is not legal, tax, financial, medical, safety, security, or other professional advice, and should not be relied upon as such. Where product specifications or certifications matter to your decision, please confirm them with us in writing.

10. Availability and disclaimer of warranties

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. 11. Limitation of liability

To the fullest extent permitted by law, Neuromotion Systems Pvt. Ltd., its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site. Our total liability for any claim relating to the Site is limited to the greater of the amount you paid us for use of the Site (if any) or USD 100. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify and hold harmless Neuromotion Systems Pvt. Ltd. and its directors, employees, and affiliates from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Site or your breach of these Terms.

13. Monitoring and disclosure

We may monitor Site usage and keep logs for security, performance, and analytics. We may disclose information where reasonably necessary to protect our rights, property, or safety, or those of others, or to comply with law, regulation, or legal process.

14. Careers

Job applications and enquiries submitted through the Site are handled under our Privacy Policy. Submitting an application does not guarantee an interview, an offer, or employment.

15. Export controls and sanctions

You agree to comply with all export control and economic sanctions laws that apply to your use of the Site and to any products, software, or technical data you receive from us.

16. Electronic communications

By using the Site or contacting us electronically, you consent to receive communications from us electronically, including, where permitted by law, marketing communications. You can opt out of marketing at any time using the unsubscribe link or by emailing info@nmspl.co.

17. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any mandatory rights you have under the law of your country, the courts at New Delhi, Delhi, India (based on our registered office) have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site.

18. Changes to these Terms

We may update these Terms from time to time by posting the revised version on this page with a new “last updated” date. Your continued use of the Site after changes take effect means you accept the revised Terms.

19. General

If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a right is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding use of the Site.
